These Terms of Service (“Terms”) govern your access to and use of the website and AI concierge service (the “Service”) of XCelerate AK LLC — a company registered in the United States, operating as XCelerate AK from Accra, Ghana (“XCelerate”, “we”, “us”). By using the Service, you agree to these Terms. If you are using the Service on behalf of a business, you confirm you are authorised to bind that business.

1. The Service

XCelerate AK provides an AI-powered customer-service and concierge platform that helps businesses respond to customers, take bookings and orders, and accept payments across messaging channels. Features available to you depend on your plan and the platforms you connect.

2. Accounts & Eligibility

• You must provide accurate information and keep your account credentials secure.
• You are responsible for activity that occurs under your account.
• The Service is intended for businesses and users aged 18 or older.

3. Acceptable Use

You agree not to use the Service to: break any law; send spam or unsolicited messages in violation of platform rules; infringe others’ rights; transmit harmful or unlawful content; or attempt to disrupt, reverse-engineer, or gain unauthorised access to the Service. You must comply with the terms of any third-party platform you connect (including Meta and Google) and with applicable mobile-money and payment rules.

4. Plans, Fees & Payment

• Paid plans are billed in advance on the cycle shown at checkout. Fees are stated in Ghana Cedis unless noted otherwise.
• Payments are processed by our payment providers (including Paystack and the mobile-money networks). By subscribing you authorise the applicable charges.
• Unless required by law, fees are non-refundable. You may cancel future renewals at any time; cancellation takes effect at the end of the current billing period.
• We may change pricing with reasonable advance notice, effective from your next billing cycle.

5. Customer Payments Processed Through the Service

Where the Service helps a business collect payments from its own customers, those funds are processed by the relevant payment provider and settle to the business’s designated account. XCelerate AK is a technology provider and is not a bank, payment institution, or party to the underlying sale between a business and its customer. The business is responsible for fulfilling its customers’ orders and for any refunds or disputes.

6. Your Content & Connected Accounts

You retain ownership of the content and data you provide. You grant us a limited licence to process it solely to operate and improve the Service for you. You are responsible for having the rights and consents needed for the data you submit, including the messages and customer information handled by the concierge. You can disconnect a linked platform at any time.

7. Availability

We work to keep the Service available and reliable, but it is provided on an “as is” and “as available” basis. We may modify, suspend, or discontinue features, and we may perform maintenance that temporarily affects availability.

8. Disclaimers

The Service uses automated AI systems, which can occasionally produce inaccurate or incomplete output. You are responsible for reviewing automated actions where appropriate. To the fullest extent permitted by law, we disclaim all warranties not expressly stated in these Terms.

9. Limitation of Liability

To the fullest extent permitted by law, XCelerate AK will not be liable for indirect, incidental, special, or consequential damages, or for lost profits or revenue. Our total liability for any claim relating to the Service is limited to the amount you paid us for the Service in the three months before the event giving rise to the claim.

10. Termination

You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms or use the Service in a way that risks harm to others or to the platforms we rely on. On termination, your right to use the Service ends; certain provisions (including payment, disclaimers, and liability) survive.

11. Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected by updating the “Effective” date above and, where appropriate, by notifying you. Continued use after changes take effect constitutes acceptance.

12. Governing Law

These Terms are governed by the laws of the Republic of Ghana, and disputes are subject to the jurisdiction of the courts of Ghana.
